Services Description

  • Somykoron provides custom software development services including web applications, mobile apps, AI solutions, and system integrations.
  • All services are provided on a project basis with agreed-upon scope, timeline, and deliverables.
  • We reserve the right to refuse service to anyone for any reason at any time.
  • Service specifications and deliverables will be defined in separate project agreements.
  • We maintain the right to use subcontractors and third-party services to fulfill project requirements.

Intellectual Property Rights

  • Client Projects: Upon full payment, clients receive ownership rights to the custom code developed specifically for their project.
  • Pre-existing Materials: We retain ownership of all pre-existing intellectual property, frameworks, and reusable components.
  • License Grant: Clients receive a perpetual, non-exclusive license to use pre-existing materials incorporated into their project.
  • Portfolio Rights: We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
  • Third-Party Assets: Clients are responsible for obtaining licenses for any third-party assets they request to be included.

Payment Terms

  • Project fees and payment schedules will be outlined in individual project agreements.
  • Typical payment structure: 50% upfront, 50% upon completion, unless otherwise specified.
  • All payments are due within 7 days of invoice date unless alternative terms are agreed.
  • Late payments may incur interest charges of 1.5% per month.
  • We reserve the right to suspend work on projects with overdue payments.
  • Refund policies are project-specific and will be detailed in project agreements.

Limitation of Liability

  • Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project.
  • We are not liable for any indirect, incidental, special, or consequential damages.
  • We do not guarantee uninterrupted or error-free service and are not liable for service disruptions.
  • Clients are responsible for maintaining backups of their data and content.
  • We are not liable for damages resulting from unauthorized access or data breaches beyond our control.
  • This limitation applies to the fullest extent permitted by law.

Warranties and Disclaimers

  • We warrant that services will be performed with professional care and skill.
  • Post-launch support and maintenance terms will be specified in project agreements.
  • We do not warrant that our services will meet all client expectations or be completely error-free.
  • All services are provided 'as is' except as expressly stated in project agreements.
  • We disclaim all warranties not expressly stated, including implied warranties of merchantability.
  • Clients are responsible for testing and accepting deliverables within agreed timeframes.

Governing Law

These Terms and Conditions are governed by and construed in accordance with applicable international laws. Any disputes arising from these terms will be resolved through good faith negotiation or, if necessary, binding arbitration.
